The terms, in language you can read.

Using this site, and what a service agreement with us actually commits both sides to. We'd rather you knew the shape of it before anyone asks for a signature.

The short version

Read the site freely. If you become a client, your signed agreement is the one that counts — and this page tells you what it will say.

Nothing on this website is a contract, and nothing here obliges you to buy anything. Once you do sign with us, you get one flat monthly fee for the whole service list, a term you agreed to in advance, and written quotes for anything outside it. We answer to targets we publish rather than ones we keep to ourselves.

The rest of this page is the same thing said carefully.

What these terms cover

These terms are an agreement between you and TKIT, Inc. covering two things: your use of this website, including the client portal at /portal, and the general shape of the managed IT service we sell. Using the site means you accept the parts that apply to visitors.

If you are a client, your signed service agreement — with its own schedule of fees, devices, and any terms specific to your industry — takes precedence over this page wherever the two differ. This page never shrinks what that agreement promises you. It exists so you can read the terms before anyone asks you to sign, not instead of it.

How we handle information about you is a separate matter, set out in our privacy policy.

Using this website

You are welcome to read, print, and share these pages. In return, a short list of things not to do:

  • Don't attempt to break, overload, or gain unauthorised access to the site, the portal, or anything connected to them.
  • Don't scrape or bulk-copy the content to republish it as your own, and don't use it to train a product that competes with us.
  • Don't use the contact form to send unsolicited sales messages or anything unlawful.

The words, layout, and code of this site belong to TKIT. The photography is licensed, not ours to sublicense — the individual attributions are on the photo credits page, and the terms of each licence govern any further use.

We keep the site accurate and available, but we don't promise it will be uninterrupted or error-free, and service descriptions here are summaries rather than specifications. We may change or remove pages without notice.

Quote requests and estimates

Sending the quote request form costs you nothing and commits you to nothing. It commits us to nothing either until we've both signed an agreement.

  • Quotes are built on what you tell us.The user, computer, and server counts you give us drive the price. If the assessment turns up a materially different setup, we'll re-quote before starting rather than adjust the bill afterwards.
  • A quote is open for a set period.Ours stay valid for a set length defined on your formal proposal, from the date we send them, after which we may need to re-price.
  • Prices exclude taxes.Any applicable state, borough, or municipal taxes are added to your invoice.

What a service agreement covers

One flat monthly fee covers the whole service list — the same one set out on the services page:

  • Help Desk.Unlimited remote support for the everyday stuff.
  • Computer Care.Monitoring, updates, antivirus, daily backups.
  • Server & Network Care.Your infrastructure, watched and maintained.
  • Passwords & Accounts.Microsoft 365, password manager, self-service reset.
  • Spare Computer Program.A ready-to-go loaner, same business day.
  • Account Care.Asset tracking, quarterly planning, renewal reminders.

The commercial terms that go with it:

  • Priced per user and per device.Add a user or a device and we add that line at the agreed rate; remove one and it comes off. Neither requires renegotiating the agreement.
  • A one-time setup fee.Covers assessing your systems, installing our tools, hardening your security, setting up your password tools, and documenting everything. It is quoted before you sign.
  • A 12-month initial term.Then month-to-month at the same rate. See changing or ending an agreement.
  • Extra work is quoted first.New computer setups, migrations, on-site visits, and projects have clear rates, and you approve the cost in writing before we begin. Contract clients get preferred on-site rates.

Unlimited support means unlimited remote help during business hours, Monday–Friday, 8:00–18:00 (AKST), with no per-call charge and no cap on the number of calls. It is not a licence to have us rebuild your network for free — that work is a project, and projects are quoted. Monitoring runs around the clock regardless of the support window.

What sits outside the fee

Said plainly, so the first invoice holds no surprises. These are quoted separately, and you approve them before we start:

  • Projects.Office moves, new construction, major software changes, migrations, and new computer setups.
  • On-site work outside the standard scope.Routine support is delivered remotely. Visits beyond what your agreement includes are billed at your contract rate.
  • Hardware, software, and licences.Computers, servers, network equipment, and third-party subscriptions are yours to buy — see third-party products and licences.
  • Damage from outside events.Fire, flood, storm, power surge, theft, vandalism, and similar events. We'll help you recover; the recovery work is quoted.
  • Work caused by acting against our advice.Where a documented recommendation is declined and the predicted problem follows, putting it right is chargeable.

Response times, and what they mean

We publish when we will start on a problem, measured in business hours from when you report it. That is a commitment to begin work, not a promise that every fault is fixed within the window — some faults are simply longer than that, and we'd rather say so.

  • Urgent — 1 business hour.Many users down. For example: server or internet is down.
  • High — 2 business hours.One user down. For example: a computer won't start.
  • Normal — 4 business hours.Working with difficulty. For example: printer error, slow email.
  • Low — 1 business day.Questions & requests. For example: new user, how-to question.

Business hours are Monday–Friday, 8:00–18:00 (AKST). We set the priority based on the impact you describe, and we'll tell you what we set and why. Where a fault sits with a third party — an internet outage, a vendor's cloud service, a hardware RMA — we chase it and keep you informed, but their timescale becomes the timescale.

What we need from you

The service only works if a few things are true at your end:

  • Let us install and keep running the monitoring, antivirus, backup, and remote-access tools on the devices we cover. A device we can't see isn't a device we can look after.
  • Give us the access we need, and name someone who can authorise work and approve quotes.
  • Hold valid licences for the software you run, and keep paying for the subscriptions your setup depends on.
  • Tell us promptly when someone joins or leaves, so accounts and portal access follow the people who should have them.
  • Keep your contact details current, and report faults through the help desk rather than to a technician directly — that's what starts the clock in response times.
  • Don't ask us to do anything unlawful, and don't have others work on the systems we manage without telling us.

Where one of these isn't met, our response targets and commitments are affected accordingly — we'll tell you when that happens rather than quietly missing them.

Backups, and what they can and can't do

Your agreement includes a daily backup of the data on every covered computer and server, a second copy kept in a separate secure location, and a monthly restore test whose result we send you.

What that does not amount to:

  • Backups cover the data and locations agreed in your schedule. Files saved somewhere we were never told about are not backed up.
  • A daily backup means up to a day of work can be lost between copies. If that isn't acceptable for a given system, tell us and we'll quote something more frequent.
  • No backup system is guaranteed to be complete or restorable in every circumstance. The monthly test exists precisely because that's true, and its results are yours to see.

Third-party products and licences

Delivering the service means using products we don't make — Microsoft 365, the antivirus, the password manager, the backup platform, your internet connection. We manage them on your behalf, and their own vendor terms apply to your use of them.

  • Where a subscription is bought in your name, it stays yours. Where we resell one, it is provided on the vendor's terms, and we'll tell you which applies.
  • Vendors change prices, features, and terms on their own schedule. If one materially changes what your fee has to cover, we'll tell you before it affects your bill.
  • We are not responsible for a vendor's outages or defects, but we will pursue them on your behalf as part of the service.

The client portal

Portal access is for people at client businesses, granted at your organisation's request. Sign-in runs through WorkOS AuthKit, our authentication provider.

  • Accounts are personal. Don't share credentials, and don't let someone else use yours.
  • Tell us straight away if you think an account has been compromised, or if someone with access has left.
  • We may suspend an account immediately where we believe it is being misused or is a security risk, and we'll tell you why.
  • Access ends when your agreement does, along with the rest of the service.

Your data, and ours

Your data belongs to you, full stop. Delivering managed IT gives us access to it — the monitoring agent on each computer, your backups, your Microsoft 365 accounts, the password manager — and that access exists to run the service and for nothing else. We don't mine or analyse your business data for our own ends, and we never sell it.

What stays ours is the toolkit rather than your information: our monitoring and management platforms, our internal processes, and any templates or scripts we bring to the work. You get the benefit of them while the agreement runs, not ownership of them.

Each side keeps the other's confidential information to itself, both during the agreement and afterwards. How we handle personal information specifically is set out in the privacy policy.

Fees and payment

  • Billed monthly.Invoices are issued monthly and payable within the terms set in your formal agreement.
  • The fee is fixed for your term.It changes only when your user or device count changes, and then only for the affected line. Fees can be adjusted at renewal, with written notice defined in your formal agreement.
  • Approved extras are added as they are completed.Project and on-site work appears on the next invoice at the rate you approved.
  • Late payment.Overdue accounts may attract late fees. If an account stays unpaid, we may suspend work after telling you first. We won't hold your data hostage over an invoice, and terms around data transfer will be defined in your formal agreement

Changing or ending an agreement

  • After the initial term.The agreement continues month-to-month at the same rate. Either side can make a change, including ending it, with 60 days' written notice.
  • During the initial term.Either side may end it early for a material breach the other hasn't put right within their defined period of being told about it in writing. Early termination for convenience is covered by early termination terms in your formal agreement.
  • When it ends.We hand back all passwords, documentation, and backups, then securely erase your data from our systems. Fees for work already delivered remain payable.
  • Transition help.We'll work with your next provider to hand things over cleanly. Beyond the handback above, transition work is quoted like any other project.

The limits of what we promise

We do the work with reasonable skill and care, to the standards a competent IT provider would apply. That is a real commitment, and it's the one we stand behind.

What we can't promise is that technology never fails. No provider can guarantee that a system will never go down, that a device will never break, or that no attack will ever succeed. Beyond the express commitments in your agreement, the service is provided without further warranties, so far as the law allows.

  • Neither side is liable for indirect losses.Lost profits, lost business, and similar consequential losses sit outside what either of us takes on.
  • Our overall liability is capped.Our total liability for all claims arising out of or relating to this agreement will not exceed the fees you paid us in the three (3) months immediately before the event giving rise to the claim, except where the law does not permit a cap.

    Neither party is liable for lost profits, lost revenue, lost or corrupted data, business interruption, or any indirect, incidental, special, or consequential damages, even if advised of the possibility.

  • Some things can never be excluded.Nothing here limits liability for fraud, wilful misconduct, or anything else the law says cannot be limited.
  • Events outside anyone's control.Neither side is in breach for delays caused by things genuinely beyond its control — severe weather, extended power or internet outages, or a vendor's failure. We'll keep you informed and work the problem.

Governing law and disputes

These terms are governed by the laws of the State of Alaska.

Before it gets that far, call us. Most disagreements are a misunderstanding about scope, and a conversation with us settles them faster than anything formal. We ask both sides to try that first.

Changes to these terms

We may update this page as the site and the service change, and we'll move the date at the top when we do. Continuing to use the site after a change means you accept the revised terms. Your signed service agreement, though, is not changed by anything we publish here — that takes an agreed amendment in writing, and active clients hear about material changes from us directly.
